1. ACCEPTANCE OF TERMS AND CONDITIONS.

   
   This website is owned by Sambellina PTY LTD (ABN 99136447124) trading as 'Sambellina'. By purchasing a wholesale product directly from this Website or via manual ordering processes, you acknowledge that you have read and understood and agree to be bound by these terms and conditions ("Terms and Conditions").
   Whilst Sambellina has made every effort to ensure that the information contained in the Website is correct, Sambellina cannot accept responsibility for any errors or omissions in the information contained on the Website.
   Sambellina may vary these Terms and Conditions from time to time and at any time. Such variation will be effective immediately upon it being published on the Website. You accept that by accessing or using the Website subsequent to any variation to the Terms and Conditions that you agree to be bound by and comply with the Terms and Conditions, as varied.



2. COPYRIGHT.

   
   This website and all associated images and designs are subject to copyright. The information on this website and related products is protected under Australian copyright laws. All images and text reproduced on these products are the property of Sambellina and are not to be reproduced in any capacity.
   You must comply with all proprietary and copyright notices on this website. Subject to provisions of the Copyright Act 1968 (Australia), you must not in any form or by any means: copy, adapt, reproduce, broadcast, store, transmit, distribute, print, publish or create derivative works from any information or material on this website; alter, decompile, disassemble, reverse engineer or modify any material or information that you receive from this website which can be accessed through this website; or use or apply, for commercial purposes any material or information on this website, without the prior written consent of Sambellina PTY LTD.



3. PRODUCT COLOURS .

   
   While every effort has been made to accurately display the product colours shown on our website, colours may vary to an extent due to the monitor they are viewed on. We cannot guarantee that your monitor will display the colour accurately or as intended.



4. WHOLESALE ORDERING

   4.1 RESELLER APPLICATION.
   To become an authorised stockist of Sambellina partyware and stationery, a retailer must submit a reseller application. This can be completed online or manually via fax or email. Sambellina reserves the right to reject an application without cause or justification.
   4.2 ORDERING OPTIONS.
   Authorised retailers will be assigned and sent a user name and password which will allow you to place orders via the wholesale login section of our website. A manual order form may also be downloaded from this section of the website, where retailers may place the order via fax (03 8678 1333) or by sending the order form to sales@sambellina.com.au.
   4.3 WHOLESALE PRICING.
   Advertised prices for products or services via online wholesale ordering processes are quoted in Australian dollars and exclude Goods and Services Tax (GST). The prices are current at the time they are published on the Website but may change from time to time and at any time at the sole discretion of Sambellina. Sambellina reserves the right to correct pricing and other typographical and photographic errors.
   4.4 MINIMUM ORDER.
   The minimum trade value for wholesale ordering is $350.00 AUD (ex GST).
   4.5. PAYMENT OPTIONS.
   Sambellina retains right and title to the products you order until you have made payment in full for those products. We will dispatch your order once payment is received. Our preferred method of payment is direct deposit into our bank account. We also accept cheques, bank cheques, and money orders. Cheques are required to be cleared prior to dispatching your order. We will be adding credit card services depending on demand.
   The retailer will be sent an invoice with the most economical freight option and GST included. The information required for payment will be sent along with this invoice, including bank account details for direct deposit.
   All prices are in Australian dollars and GST is added to the final order total.
   4.6 INTERNATIONAL ORDERS.
   We welcome International Orders. Please email us at contact@sambellina.com.au for international arrangements including shipping options.



5. RETAILER RESTRICTIONS.

   
   Sambellina products are sold to authorised resellers only under the agreement that they will not be retailed on any internet auction site at any time. Including but not limted to eBay, Etsy.
   Reatilers agree that all Sambellina products and designs are subject to local and international copyright laws and will not manufacture or import copies of similar products for wholesale or retail sale.



6. DELIVERY & FREIGHT.

   
   We deliver to your business or residential address. Please allow approximately 5-10 working days for delivery of goods, unless product is not in stock in which case the retailer will be notified within 48 hours of any expected delays.
   Deliveries will be made via courier. The delivery / freight charges will be added once the order is completed and communicated via the invoice prior to payment. Please contact us should you require an estimated delivery cost per order size. Should the courier company be unable to deliver you goods they will leave a collection card. Your order will be held for collection for 24 hours after which time it will be returned to Sambellina. If this occurs we are happy to resend your order at your cost.
   



7. WARRANTY AND GUARANTEE.

   
   We take a lot of pride in our products and make sure we send out only the highest quality products for resale but if for some unfortunate reason your product arrives in less than perfect condition, you must notify us within 14 days of delivery of the fault.
   A product with a manufacturing or packaging fault will be replaced. No refunds or exchanges will be given for change of mind. No responsibility will be taken for general shop wear and tear. Goods will need to be returned in their original condition and packaging. You will be responsible for return shipping and the exchange will be processed when the goods are safely returned to us.

   If your item has been purchased from one of our retailers, please contact the retailer for their return policy. We cannot accept returns for items purchased through a third party retailer.
   
   

8. INDEMNITY AND LIMITATION OF LIABILITY.

   
   You hereby agree to indemnify and hold Sambellina harmless for any losses, liabilities, damages, claims and expenses suffered or incurred by you arising out of or related to your use of or inability to use the Website or these Terms and Conditions. Sambellina does not guarantee that the Website will be free from viruses, spy-ware, worms, trojans (Viruses) and will not be liable for any loss or damage, whether to personal property or otherwise, suffered as a result of or in connection with any Viruses contained on the Website.



9. PRIVACY POLICY .

   
   Sambellina Pty Ltd collects your personal information to assist in providing the goods you have requested and to improve products. Sambellina will automatically place you on its database and you will receive information from time to time relating to new products, events or promotions. Please let Sambellina know if you object to this and if you would prefer not to be contacted.

    The Website may contain links to other third party websites. Sambellina does not endorse or approve any material contained on third party websites. Sambellina makes no warranties or representations, express or implied with respect to the appropriateness, cost, quality, accuracy, merchantability or fitness for purpose of material, information, products, services or otherwise referred to on third party websites. You access these sites and use or buy their products, services and information at your own risk.



11. APPLICABLE LAW AND JURISDICTION.

    
    These Terms and Conditions are governed by and construed in accordance with the laws of the State of Victoria, Australia. You and Sambellina agree to irrevocably submit to the exclusive jurisdiction of the courts of the State of Victoria, Australia.
